Terms of Service
Last Updated: January 2026. These Terms of Service govern your use of NetOptix services and website.
1. Acceptance of Terms
By requesting services, accessing our website, or scheduling an installation with NetOptix ("Company," "we," "us," "our"), you ("Customer," "you," "your") agree to be bound by these Terms of Service, our Privacy Policy, and any supplementary terms specific to a service package. If you do not agree to these terms, do not use our services. Continued use constitutes acceptance.
We reserve the right to modify these terms at any time. Modified terms take effect immediately upon posting. Your continued use of our services constitutes acceptance of revised terms. It is your responsibility to review these terms periodically for updates.
2. Service Description
NetOptix provides professional internet installation, network configuration, optimization, and support services for residential and commercial customers. Services include but are not limited to fiber termination, mesh WiFi installation, router setup, network troubleshooting, VoIP configuration, smart home integration, and managed network services.
Specific services and deliverables are detailed in your service proposal or installation agreement, which becomes binding upon acceptance and payment. Any services not explicitly listed in your agreement are outside the scope of the service package.
3. Pricing & Payment Terms
Pricing: All prices are in USD and include labor. Equipment costs are itemized separately. Prices are valid for 30 days from quote date. We reserve the right to adjust pricing for market changes, material costs, or extended scope of work.
Payment: Payment is due in full before service delivery unless alternative arrangements are agreed in writing. We accept credit cards, ACH transfers, checks, and cash. Late payments may incur a 1.5% monthly interest charge.
Taxes & Fees: Prices do not include applicable sales tax or service taxes, which will be added to your invoice. Customer is responsible for any applicable local taxes.
Cancellations: Cancellations made more than 48 hours before scheduled installation are refunded in full. Cancellations within 48 hours forfeit 50% of the service fee. No-shows forfeit 100%.
4. Scheduling & Installation
Once your service proposal is accepted and payment received, we will contact you within 2 business days to schedule installation. Appointments are typically 3–7 hours depending on scope.
Customer Responsibilities:
- Provide access to all areas where work will occur (rooms, network closets, roof access, etc.)
- Ensure existing internet connection is active and accessible
- Provide accurate contact information and be available during the scheduled time window
- Notify us of any hazardous conditions, pets, security systems, or equipment that could affect work
- Clear work areas of obstacles to ensure technician safety and efficiency
Rescheduling: If you need to reschedule, contact us at least 48 hours in advance. Rescheduling is accommodated at no charge if done within this timeframe.
5. Performance Guarantee & Satisfaction
NetOptix warrants that all work will be performed professionally and in accordance with industry standards. We offer a 30-day performance guarantee: if you are not satisfied with the results of your installation (speed, coverage, functionality), we will troubleshoot and address issues at no additional charge.
If issues cannot be resolved within the 30-day period and are determined to be caused by our installation or configuration error, we will provide a full refund.
This guarantee does NOT cover issues caused by: (1) your Internet Service Provider's service outage or limitations, (2) customer-initiated modifications to the network after installation, (3) customer equipment failure, or (4) third-party network interference beyond our control.
6. Warranties
NetOptix Labor Warranty: We warrant that all installation work and configuration will be free from defects for 90 days from completion. Issues discovered within this period will be corrected at no cost.
Equipment Warranty: Equipment carries the manufacturer's original warranty (typically 1–3 years depending on model and brand). NetOptix does not provide extended warranty unless explicitly agreed. Equipment issues are handled directly with the manufacturer or through our service plan.
Disclaimer: EXCEPT AS EXPRESSLY STATED ABOVE, NETOPTIX MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NETOPTIX SHALL NOT BE LIABLE FOR: (1) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, OR DATA LOSS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (2) CUSTOMER'S SPECIFIC USE OF SERVICES OR INABILITY TO USE SERVICES; (3) THIRD-PARTY CLAIMS OR ACTIONS ARISING FROM USE OF OUR SERVICES.
OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE IN QUESTION, OR $500, WHICHEVER IS GREATER.
These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability) and are essential terms upon which our pricing is based.
8. Acceptable Use & Prohibited Conduct
You agree not to use NetOptix services for:
- Illegal activities or activities that violate applicable law
- Infringement of intellectual property rights (copyright, trademark, patent)
- Defamation, harassment, or threatening conduct
- Unauthorized access to computer systems or networks
- Distribution of malware, viruses, or harmful code
- Spam, phishing, or fraudulent schemes
- Interference with other users' network access or services
- Circumvention of security measures or access controls
We may suspend services immediately if we reasonably believe you are engaged in prohibited conduct.
9. Intellectual Property Rights
All content on our website (text, graphics, logos, designs, software) is owned by or licensed to NetOptix and protected by copyright and intellectual property law. You may not reproduce, modify, distribute, or transmit any content without our written permission.
Your network design, installation documentation, and configuration files are your property. NetOptix retains a copy for service and support purposes under confidentiality obligations.
10. Confidentiality
NetOptix will maintain the confidentiality of your network architecture, security settings, performance data, and other sensitive information. We will not disclose this information to third parties without your consent, except as required by law or to fulfill our service obligations.
Your information is protected as described in our Privacy Policy.
11. Independent Contractor
Unless explicitly agreed in writing, NetOptix technicians are independent contractors, not employees. NetOptix is not responsible for technician conduct beyond our scope of service. Technicians are not authorized to commit NetOptix to additional obligations.
12. Indemnification
You agree to indemnify, defend, and hold harmless NetOptix, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (1) your use of services, (2) your violation of these terms, (3) your violation of any law or third-party rights, or (4) disputes between you and third parties related to your network or services.
13. Termination of Services
By You: You may terminate services at any time by written notice. No refunds are issued for prepaid services after work has begun.
By Us: We may suspend or terminate services if: (1) you fail to pay invoices 15 days after due date, (2) you engage in prohibited conduct, (3) you prevent us from accessing your premises, or (4) you violate these terms.
Upon termination, we will provide any outstanding documentation and configuration files. Prepaid services beyond the termination date will be refunded on a pro-rata basis.
14. Dispute Resolution & Arbitration
Informal Resolution: Before pursuing formal legal action, you agree to contact NetOptix at +1-212-555-0147 or info@netoptix.local to attempt to resolve disputes informally.
Binding Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration & Mediation Services Rules. The arbitration will be conducted in New York County, New York. Each party bears its own costs, but NetOptix may pay filing fees if legally required.
Class Action Waiver: You agree not to participate in class action suits against NetOptix. Disputes must be pursued on an individual basis.
Exceptions: Either party may pursue injunctive relief in court for intellectual property infringement or breach of confidentiality.
15. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflicts of law principles. Any legal proceedings arising from these terms shall be conducted exclusively in the state or federal courts located in New York County, New York, to which you irrevocably consent.
16. Entire Agreement & Severability
These Terms of Service, along with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and NetOptix regarding services and supersede all prior negotiations, representations, and agreements.
If any provision of these terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed. The remaining provisions will remain in full effect.

18. Survival
The following sections shall survive termination or expiration of these Terms: Limitation of Liability, Indemnification, Confidentiality, Intellectual Property Rights, Dispute Resolution, and Governing Law.
